"No corporation shall open, operate, or maintain an establishment or do business for any purposes set forth in the Nebraska Professional Corporation Act without filing with the Secretary of State a certificate of registration from the regulating board of the particular profession for which the professional corporation is organized to do business. NEB. REV. STAT. § 21-2216.

A foreign corporation may not transact business in this state until it obtains a certificate of authority from the Secretary of State. Certain activities listed in the law do not constitute transacting business. NEB. REV. STAT. § 21-19,146.

A foreign corporation transacting business without a certificate of authority may not maintain a proceeding in any court in this state until it obtains a certificate of authority. A foreign corporation is liable for a civil penalty of five hundred dollars for each day, but not to exceed a total of ten thousand dollars for each year, it transacts business in this state without a certificate of authority. The failure of a foreign corporation to obtain a certificate of authority does not impair the validity of its corporate acts or prevent it from defending any proceeding in this state. NEB. REV.
