"A foreign corporation must apply for a certificate of authority to do business in the state. Minn. Stat. §303.06.

A foreign corporation transacting business in Minnesota without a certificate of authority shall not be permitted to maintain an action in any court in Minnesota until it has obtained a certificate. Minn. Stat. §303.20."

Minn. Stat. § 303.03 describes activities that are not considered "transacting business;" however, a continuous course of business, conducted by authorized agents within Minnesota, constitutes "doing business." See, Ruff v. Manhattan Oil Co., 216 N.W. 331 (Minn. 1927).
