Statutes

A foreign corporation transacting business must have a certificate of authority before maintaining an action or proceeding in any court of this state. An action commenced by a foreign corporation without certificate of authority will not be dismissed if a certificate of authority is obtained before the order of dismissal. Any order of dismissal is without prejudice to the recommencement of such action or proceeding by the foreign corporation after it obtains a certificate of authority. MCL § 450.2051.
