A foreign entity may not do business or maintain an action in Indiana until it registers with the secretary of state, except for foreign regulated entities.The failure of a foreign entity to register to do business in Indiana does not impair the validity of a contract or act of the foreign entity or preclude it from defending an action or proceeding in Indiana. (IC 23-0.5-5-2)

To register to do business in Indiana, a foreign entity must deliver a foreign registration statement to the secretary of state for filing. (IC 23-0.5-5-3)

Further provisions related to amending, withdrawing and revocation of registration are contained within IC 23-0.5-5.
